Celgene is seeking a Corporate Paralegal/Legal Analyst who would be responsible for working with corporate transactional attorneys.
This position presents an opportunity for talented and motivated candidates to combine their interests in the law and business and is an excellent opportunity for candidates considering a career in corporate law or business. The paralegal/legal analyst would be expected to assist attorneys in supporting Celgene’s business development activities. The paralegal/legal analyst would, among other duties, help prepare, review, maintain and update transaction documents and forms, and coordinate with attorneys, business development and finance teams on closing various transactions (including mergers, acquisition, licenses and strategic collaborations). The paralegal/legal analyst would also assist with other ad hoc projects.

Experience with preparing legal documents and coordinating closings;
Strong technical proficiency; experience in online research and databases preferred;
Undergraduate degree; and
Law firm experience preferred.
Responsibilities could include:
Support on M&A, including legal due diligence, coordinating signatures packets and preparing and managing any required notices;
Support on FINRA responses;
Support on basic early R&D agreements (e.g., material transfer agreements), as appropriate;
Support on questions received from alliance managers, as appropriate, including analysis of existing agreements for basic issues;
Review and summarization of agreements or portions thereof;
Confirmation and verification of final documents against last-approved versions for execution;
Assistance with obtaining executive signatures on internal authorizations and external agreements;
Support on subsidiary maintenance (including preparing written consents, validating and maintaining subsidiary database, preparing and maintaining corporate minute books, filing foreign qualifications for domestic subsidiaries);
Organizing company board and board committee meeting minutes;
Assisting with benchmarking on governance matters; and
Support on section 16 filings.
